Strategic Sale Process

Selling an interest in an ambulatory surgery center (ASC) operations is about achieving the highest sale price with the best possible partner.

While we have honed our process through our experience advising physicians and completing over 300 strategic transactions, each potential strategic partnership process needs to be examined through the lens of our clients’ unique goals.

A successful strategic sale involves the right partnership that best serves the needs and plans of the owners of each individual surgery center.

  1. The first step in any potential strategic transaction or M&A is to fully understand our client’s goals and prepare a plan and strategy that will achieve these goals.
  2. Analyze our client’s ASC as any potential buyer would in their due diligence. This includes collecting data, reviewing and rationalizing financials, licenses and pertinent files.
  3. Examinine the ASC lease to make sure the seller’s interests in the real estate are protected.
  4. Design and create a Confidential Information Memorandum (CIM) that captures the details of the surgery center and highlights the potential operational growth opportunities.
  5. Identify the most likely candidates for a strategic partner and obtain signed NDAs.
  6. Submit the CIM and advocate for the surgery center to qualified buyers that would help the client achieve their goals.  These prospective partners/buyers can include surgery center management companies, healthcare systems, hospitals and private equity backed platforms.
  7. Manage the buyers examination and analysis process, scheduling site visits and meetings with owners, and follow up calls.
  8. Solicit and share competitive bids and letters of intent (LOIs) with the sellers.
  9. Review and negotiate the terms of buyer’s Letters of Intent (LOIs) and select buyers who offer the best terms.  Clients typically receive several offers.  Review and inform on all financial and strategic terms that separate different purchasers.
  10. Once the LOI has been signed, a period of exclusivity begins.  Sellers engage counsel, accountants and other advisors.  ASC Realty Advisors provide expertise throughout the process that leads from due diligence to closing and post-transaction monitoring and follow-up.
